Terms of service

Effective from 28 July 2026

These Terms and Conditions set out the rules for using the INKY online store available at www.inkycosmetics.com, including the rules for placing Orders, concluding Sales Contracts, making payments, delivery and using services provided electronically.

1. General Provisions

The Seller, distributor of INKY brand cosmetics and operator of the Store is Maximus Solaria Sp. z o.o., with its registered office in Gdańsk at ul. Startowa 2, 80-461 Gdańsk, Poland, KRS number 0000945663, Tax Identification Number 5842636178, REGON number 220531780, referred to as the "Seller".

The contact address for handling Orders, delivery, returns and complaints is Maximus Solaria Sp. z o.o., ul. Kwiatowa 3, 84-207 Bojano, Poland. Email: shop@inkycosmetics.com.

The Store is intended for retail sales. The Seller may refuse to accept an Order that is wholesale in nature or indicates that the Products are being purchased for regular resale.

Detailed information concerning delivery, withdrawal from the contract, returns, complaints and the processing of personal data is available in the "Shipping and Delivery Costs", "Returns and Complaints" and "Privacy Policy" sections.

These Terms and Conditions are available free of charge in the Store in a form that allows them to be saved, printed and subsequently reproduced.

These Terms and Conditions are available in Polish and English. The contract is concluded in the language selected by the Customer when placing the Order.

2. Definitions

  • Store means the INKY online store available at www.inkycosmetics.com.
  • Seller means Maximus Solaria Sp. z o.o.
  • Customer means a natural person, legal person or organisational unit using the Store or entering into a contract with the Seller. This term includes Consumers, Entrepreneurs with Consumer Rights and other customers making purchases in connection with a business activity.
  • Consumer means a natural person entering into a contract with the Seller for purposes not directly related to that person's business or professional activity.
  • Entrepreneur with Consumer Rights means a natural person entering into a contract directly related to that person's business activity where the content of the contract shows that it is not of a professional nature for that person.
  • Product means a product offered for sale in the Store.
  • Order means the Customer's declaration intended to conclude a Sales Contract, submitted through the Store.
  • Sales Contract means a contract for the sale of a Product concluded between the Customer and the Seller through the Store.
  • Account means a voluntary and free Store feature allowing the Customer to use the available account functions, including access to Order history.

3. Electronic Services

Through the Store, the Seller provides free electronic services allowing Customers to browse the Store's offer and content, use the shopping cart and Order form, create and maintain an Account and subscribe to the newsletter.

Creating an Account is voluntary. An Order may be placed without creating an Account.

Using the Store requires a device with internet access, an up-to-date web browser supporting necessary cookies and an active email address.

The Customer must not submit unlawful content through the Store or use the Store in a manner that infringes applicable law, the rights of other persons, system security or the proper operation of the Store.

The Order form service begins when the Customer starts placing an Order and ends when the Order is submitted or the ordering process is discontinued.

The Account agreement is concluded when the Account is created and continues for an indefinite period. The Customer may close the Account at any time by contacting the Seller at shop@inkycosmetics.com.

The newsletter service continues until the Customer unsubscribes. The Customer may unsubscribe at any time using the link included in a newsletter message.

The Seller may suspend or delete an Account used in breach of applicable law or these Terms and Conditions, or in a manner that threatens the security of the Store. Where the nature of the breach permits, the Customer will first be requested to stop the infringement.

Complaints concerning the Account, Order form, newsletter or other electronic services may be submitted to shop@inkycosmetics.com. The Seller will respond to the Customer's email address within 14 days of receiving the complaint.

4. Placing Orders and Conclusion of the Sales Contract

Information about Products published in the Store, including their descriptions, prices and availability, constitutes an invitation to enter into a contract and not an offer made by the Seller.

The Customer places an Order by selecting Products, providing the required information, selecting an available delivery and payment method, accepting these Terms and Conditions and using a button clearly indicating that the Order entails an obligation to pay.

Before placing the Order, the Customer may review the contents of the shopping cart, the total amount payable and correct the information entered.

Placing an Order constitutes an offer by the Customer to enter into a Sales Contract with the Seller.

An automatic message confirming receipt of the Order does not constitute acceptance of the Order by the Seller unless the content of the message clearly states otherwise.

The Sales Contract is concluded when the Seller sends the Customer a message confirming that the Order has been accepted for processing.

Before the Sales Contract is concluded, the Seller may refuse to accept an Order for an objective reason, including the unavailability of a Product, failure to complete payment successfully, information that prevents the Order from being fulfilled, an obvious error concerning the price or Product, or the wholesale nature of the Order.

The Customer will be informed if the Order is not accepted. Where payment has already been collected, it will be refunded without undue delay using the original payment method unless the Customer agrees to another method that does not involve any additional cost.

After the Sales Contract has been concluded, the Customer receives confirmation of the contract and the required information concerning the Order on a durable medium, in particular by email.

5. Products, Prices and Payments

INKY brand cosmetics offered in the Store are manufactured by NITORA Sp. z o.o.

Information about Products, including their characteristics, volume, ingredients, instructions for use, precautions, manufacturer, responsible person and availability, is provided on the Product pages and packaging in accordance with applicable law.

Before using a Product, the Customer should read the information, instructions for use and warnings stated on its packaging. Products must be used for their intended purpose.

Product prices include applicable VAT and are displayed in the currency shown for the selected market.

Before placing the Order, the Customer is informed of the final price of the Products, delivery charges and the total amount payable.

Current delivery charges and free-shipping thresholds are stated in the "Shipping and Delivery Costs" section.

The payment methods available for an Order are displayed during checkout. Payment is made in the currency shown in the Order summary.

Payments may be processed by external payment service providers in accordance with the rules and security measures applied by those providers.

Where payment is not successfully made or confirmed, the Seller may refuse to accept the Order for processing.

A sales document is issued in accordance with applicable law. Before confirming the Order, the Customer should provide the correct information required for the document.

Promotions, discount codes, sets, free gifts and other benefits may be subject to additional conditions stated for the relevant promotion.

Changes to prices, Product availability or promotional conditions do not affect Sales Contracts concluded before the change.

6. Delivery

Orders are delivered only to the countries, regions and postcodes currently served by the Store.

Delivery charges, free-shipping thresholds, available delivery methods, Order processing times, estimated delivery times, parcel tracking and the rules concerning incorrect addresses and uncollected parcels are described in the "Shipping and Delivery Costs" section.

The exact delivery method, delivery charge and total amount payable are displayed before the Order is confirmed.

The Customer should provide a complete and correct delivery address and immediately inform the Seller of any error identified.

7. Withdrawal, Returns and Complaints

The rules governing withdrawal from the contract by a Consumer or an Entrepreneur with Consumer Rights, the return of Products, return costs, refunds and the submission and handling of complaints are described in the "Returns and Complaints" section.

The withdrawal form available in the Store may be used by the Customer, but its use is not mandatory.

Complaints concerning Products, missing items, the delivery of an incorrect Product or damage during transport should be submitted to the Seller at shop@inkycosmetics.com.

The rights of Consumers and Entrepreneurs with Consumer Rights under applicable mandatory law are not restricted by these Terms and Conditions.

The rules applicable to Customers making purchases in connection with a business activity who are not Entrepreneurs with Consumer Rights are set out in Section 11.

8. Manufacturer of INKY Cosmetics and Responsible Person

NITORA Sp. z o.o., ul. Józefa Wybickiego 66, 84-207 Bojano, Poland, KRS number 0000828845, Tax Identification Number 5882456531, REGON number 385551434, is the manufacturer of INKY brand cosmetics and the responsible person for these Products within the meaning of Regulation (EC) No 1223/2009 of the European Parliament and of the Council on cosmetic products.

Information about the manufacturer is also available at www.nitoralab.com.

The details of the manufacturer and responsible person and the information required for each Product are presented on its packaging and Product page in the Store.

Maximus Solaria Sp. z o.o. is the party to the Sales Contract concluded with the Customer. The Customer should contact the Seller in all matters concerning the operation of the Store, Orders, payments, delivery, withdrawal, returns and complaints.

NITORA Sp. z o.o. does not handle Store sales or Orders placed through the Store.

9. Intellectual Property

Content published in the Store, including Product descriptions, texts, photographs, videos, graphic elements, logos, brand identifiers and the layout of the website, may be protected by copyright, trade mark rights or other intellectual property rights held by the Seller, the manufacturer or other entitled parties.

Use of this content beyond the scope permitted by law requires the prior consent of the relevant rights holder.

10. Personal Data and Cookies

The rules governing the processing of personal data, the use of cookies and the management of consent are described in the "Privacy Policy" available in the Store.

Maximus Solaria Sp. z o.o. is the controller of personal data processed in connection with the use of the Store.

Creating an Account, subscribing to the newsletter and consenting to optional cookies are voluntary and are not conditions for making a purchase.

11. Purchases Connected with a Business Activity

This Section applies only to Customers who are neither Consumers nor Entrepreneurs with Consumer Rights.

Such Customers do not have the consumer right to withdraw from the Sales Contract.

The Seller's liability under the statutory warranty for defects in Products is excluded in relation to such Customers to the fullest extent permitted by law. The exclusion does not apply where the Seller has fraudulently concealed a defect.

When the Product is handed over to the carrier, the benefits and burdens associated with the Product and the risk of its accidental loss or damage pass to the Customer.

To the extent permitted by law, the Seller's liability for non-performance or improper performance of the contract is limited to the value of the Order. This limitation does not apply to damage caused intentionally or where a limitation of liability is prohibited by mandatory law.

Disputes arising from contracts concluded with such Customers will be subject to the jurisdiction of the court competent for the Seller's registered office.

12. Availability of the Store

The Seller makes reasonable efforts to ensure that the Store operates correctly and remains continuously available.

Access to the Store or some of its functions may be temporarily limited, in particular due to maintenance, updates, technical work, security requirements or circumstances connected with external service providers.

This Section does not restrict the rights of Consumers or Entrepreneurs with Consumer Rights under applicable law.

13. Out-of-Court Dispute Resolution

After completing the complaint procedure, a Consumer may use available out-of-court consumer dispute resolution procedures.

The Consumer may seek assistance from the competent consumer protection authorities or entities conducting out-of-court dispute resolution proceedings.

In the event of a cross-border dispute within the European Union or European Economic Area, the Consumer may contact the relevant European Consumer Centre.

The Seller's participation in a specific out-of-court procedure depends on applicable law and the Seller's consent where participation is not mandatory.

Information about available consumer assistance and out-of-court dispute resolution procedures is available on the websites of the Polish Office of Competition and Consumer Protection and the European Consumer Centres.

14. Changes to These Terms and Conditions

The Seller may amend these Terms and Conditions for valid reasons, including changes to applicable law, the operation of the Store, available functions, payment methods, the rules for providing electronic services or technical requirements.

Changes to these Terms and Conditions do not affect Sales Contracts concluded before the changes take effect. Such Orders are governed by the version of the Terms and Conditions applicable when the Sales Contract was concluded.

Customers with an Account will be informed by email of changes concerning the Account service. The Customer may close the Account before the changes take effect.

The current version of these Terms and Conditions is published in the Store together with its effective date.

15. Final Provisions

Contracts concluded through the Store are governed by Polish law.

The choice of Polish law does not deprive a Consumer of the protection provided by mandatory provisions of the law of the country in which the Consumer has their habitual residence, where those provisions apply.

Disputes involving Consumers and Entrepreneurs with Consumer Rights will be resolved by the courts having jurisdiction under applicable law.

Matters not regulated by these Terms and Conditions are governed by applicable law.

If any provision of these Terms and Conditions is found to be invalid or ineffective, this does not affect the validity and effectiveness of the remaining provisions.

These Terms and Conditions are effective from 28 July 2026.
